Acceptance of Terms By accessing or using the Skyline portal ("Portal"), you agree to comply with and be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not use the Portal. ## 2. Platform Operator The Portal is operated on the CommunitySync platform, provided by **Trusun Media Inc.** ("Platform Operator"). Trusun Media Inc. hosts the Portal and processes personal data on behalf of Skyline as described in our Privacy Policy. Skyline ("Community") is responsible for the membership, content, and conduct standards of the Portal. ## 3. Eligibility and Membership Use of the Portal is limited to authorized users who are active members in good standing with the Community. You must be at least 18 years old to use the Portal. Access may be suspended or terminated at any time if membership status changes or if these Terms are violated. ## 4. Public Display of Agent Information By providing information, photos, contact details, or other personal or professional data through the Portal, you consent to having that information displayed publicly in our online agent directory and related promotional materials. You are responsible for ensuring that all information you submit is accurate, truthful, and up to date. You agree not to post or submit any false, misleading, or deceptive information or make false claims about your experience, services, or qualifications. The Community reserves the right to remove or edit any information deemed inaccurate or inappropriate. ## 5. User Conduct You agree to use the Portal only for its intended business and educational purposes and in compliance with all applicable laws and regulations — including fair housing, advertising, telemarketing (e.g., the TCPA), and real estate licensing laws. You further agree not to: - Use the Portal for any unlawful, fraudulent, or misleading purpose. - Upload, share, or distribute any content that is defamatory, obscene, abusive, discriminatory, or violates the rights of others. - Attempt to gain unauthorized access to the Portal, user accounts, or any systems or networks. - Introduce viruses, malware, or any other malicious code. - Scrape, collect, or otherwise use data from the Portal for unsolicited marketing or competitive purposes. - Copy, resell, distribute, or exploit any part of the Portal or its materials for commercial gain without written consent. Violation of these rules may result in suspension or termination of your access without notice. ## 6. Use of Materials The Portal may contain documents, questionnaires, checklists, marketing assets, educational materials, rental forecast reports, and videos. - These materials are provided for educational purposes only. - They are not legal, tax, investment, or financial advice. - Rental forecasts, market reports, and similar analyses are estimates based on third-party data and modeling assumptions. Actual results will vary, and no specific investment outcome is promised or guaranteed. - You should always seek licensed professional guidance for legal, financial, or tax-related matters. - The Community and the Platform Operator disclaim any responsibility or liability for actions taken based on these materials. ## 7. License and Use of Technology While a member in good standing, you are granted a limited, non-exclusive, non-transferable right to access and use the Portal and its technology for business and educational purposes only. You may not copy, modify, reverse engineer, resell, or distribute any part of the Portal's content or systems without express written consent. ## 8. Intellectual Property The platform technology, designs, and software are owned by Trusun Media Inc. or its licensors. Community-specific content, branding, and materials are owned by the Community or its licensors. Unauthorized use or reproduction of any materials is strictly prohibited. ## 9. User-Uploaded Content By uploading, submitting, or providing any content to the Portal — including but not limited to property photographs, listing descriptions, logos, marketing materials, and any other files or data — you represent and warrant that: - You own or have obtained all necessary rights, licenses, and permissions to use and upload such content. - The content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party. - The content is not subject to any restrictions that would prevent its display on the Portal or related public-facing platforms. You grant the Community and the Platform Operator a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute your uploaded content solely in connection with the operation of the Portal and its associated public-facing websites and marketing channels. This license terminates when you delete the content or your account, except where retention is required by law and except for residual copies retained in routine backups and recovery snapshots until those cycle out. You agree to indemnify and hold harmless the Community and the Platform Operator from any and all claims, damages, losses, or expenses (including reasonable attorney's fees) arising from any third-party claim that content you uploaded infringes upon their intellectual property or other rights. No responsibility is assumed for verifying the ownership or legality of user-uploaded content. ## 10. Copyright Complaints (DMCA) We respect intellectual property rights and expect Portal users to do the same. If you believe content on the Portal infringes a copyright you own or control, send a written notice to the Platform Operator's designated copyright agent containing: 1. Identification of the copyrighted work you claim has been infringed; 2. Identification of the allegedly infringing material and its location on the Portal (a URL is sufficient); 3. Your name, mailing address, telephone number, and email address; 4. A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; 5. A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and 6. Your physical or electronic signature. Upon receipt of a valid notice, we will remove or disable access to the identified material and notify the user who posted it. That user may submit a counter-notification in accordance with 17 U.S.C. § 512(g). **Repeat infringers:** accounts of users who repeatedly upload infringing content will be terminated. ## 11. Confidentiality and Data Security Reasonable steps are taken to protect your personal data. However, you acknowledge that no system can be completely secure and agree to use the Portal at your own risk. You are responsible for maintaining the confidentiality of your login credentials. ## 12. Limitation of Liability The Portal and all materials are provided "as is" without warranties of any kind. To the fullest extent permitted by law, the Community and the Platform Operator disclaim all liability for damages arising from your use of or reliance on the Portal, including but not limited to loss of data, profits, or business interruption. To the fullest extent permitted by law, the total aggregate liability of the Community and the Platform Operator for all claims arising out of or relating to the Portal or these Terms shall not exceed the greater of (a) the amounts you paid for access to the Portal in the twelve (12) months preceding the event giving rise to the claim, and (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you. ## 13. Indemnification and Hold Harmless You agree to indemnify, defend, and hold harmless the Community and the Platform Operator, and their respective affiliates, officers, employees, and agents from and against any and all claims, liabilities, losses, damages, costs, or expenses (including reasonable attorney's fees) arising from: - Your misuse of the Portal or its materials; - Your violation of these Terms; - Your violation of any applicable law in connection with your use of the Portal, including telemarketing and text-messaging laws; - Your submission of false, misleading, or inaccurate information; - Any third-party claim related to content you uploaded to the Portal (see Section 9). ## 14. Termination The Community reserves the right to modify, suspend, or terminate access to the Portal at any time, with or without notice, including in cases of non-payment, inactivity, or violation of these Terms. ## 15. Modifications These Terms may be updated periodically. For material changes, we will provide notice by email or a prominent notice on the Portal before the changes take effect, together with an updated effective date. Continued use of the Portal after the effective date constitutes acceptance of the revised Terms. ## 16. Dispute Resolution; Arbitration; Class Action Waiver **Please read this section carefully — it affects your legal rights.** **Informal resolution first.** Before filing any claim, you agree to contact us (see Section 18) with a written description of the dispute and give us thirty (30) days to resolve it informally. **Binding arbitration.** Any dispute, claim, or controversy arising out of or relating to these Terms or the Portal that is not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, before a single arbitrator. The arbitration shall be conducted in the county of the Community's principal place of business (or remotely by agreement), and judgment on the award may be entered in any court of competent jurisdiction. Each party remains free to (a) bring an individual claim in small-claims court, and (b) seek injunctive or other equitable relief in court for infringement or misuse of intellectual property or unauthorized access to the Portal. **Class action waiver.** All disputes must be brought on an individual basis only. Neither you nor we may participate in a class action, class-wide arbitration, or consolidated proceeding. If this waiver is found unenforceable as to a particular dispute, the arbitration agreement shall not apply to that dispute. ## 17. Governing Law and Venue These Terms will be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any judicial proceeding not subject to arbitration under Section 16 shall be brought exclusively in the state or federal courts located in Florida, and both parties consent to personal jurisdiction and venue there. ## 18. General Provisions - **Severability.** If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. - **Entire agreement.** These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Community regarding the Portal and supersede any prior agreements on the subject. - **No waiver.** Failure to enforce any provision of these Terms is not a waiver of the right to enforce it later. - **Assignment.** You may not assign or transfer these Terms or your Portal access. The Community and the Platform Operator may assign these Terms in connection with a merger, acquisition, or sale of assets. - **Force majeure.** Neither the Community nor the Platform Operator is liable for delays or failures caused by events beyond reasonable control, including outages of third-party infrastructure or data providers. - **Survival.** Sections that by their nature should survive termination (including Sections 6, 8, 9, 12, 13, 16, 17, and 18) survive termination of your access. ## 19.
